Distributor Onboarding: PurFuels Home-Delivery, Dealer Supply and other POD Filling Programs
This Fuel 1 PurFuels Jobber (“Dealer”) Participation Agreement (“Agreement”) is entered into between Fuel 1 LLC, a Florida limited liability company (“Fuel 1”), and the undersigned fuel distributor (“Dealer”).
- Purpose
Fuel 1 appoints Dealer as a non-exclusive authorized distribution partner for the production and supply of PurFuels Ethanol-Free 93 Octane gasoline within Dealer’s service area, subject to the terms of this Agreement. Dealer will utilize the PurFuels splash blend supplied by Fuel 1 and blend with Rec90 or Ethanol-Free base gasoline in accordance with Fuel 1 blending guidelines.
- Equipment and Product Ownership
Fuel 1 may provide Dealer with the following equipment and materials:
- 275-gallon tote containing PurFuels splash blend
- 500 to a 1,000-gallon double-wall self-contained storage tank or larger if applicable.
- Monitoring equipment or related dispensing components
All equipment, tanks, totes, splash blend, and related materials remain the sole property of Fuel 1 LLC.
Dealer acknowledges that such equipment and materials are provided for operational use only and do not transfer ownership to Dealer.
- Return of Equipment
Fuel 1 reserves the right to terminate this Agreement at any time for any reason. Jobber reserves the right to terminate this Agreement at any time.
Upon request by Fuel 1 or jobber termination, Dealer agrees to:
- Immediately cease use of the PurFuels program
- Allow retrieval of Fuel 1 equipment and materials
- Return all Fuel 1 property within a reasonable time frame
Dealer shall ensure equipment is maintained in good working condition and accessible for retrieval.
- Licensing and Compliance
Dealer represents and warrants that it:
- Holds all required federal, state, and local licenses necessary to store, transport, and deliver fuel products. PurFuels is not a blend required product, it is self-agitating gasoline.
- Complies with all EPA, DOT, state, and local fuel handling regulations
- Follows all industry standards and safety requirements for fuel and lubricant storage and delivery, Dealer assumes full responsibility for compliance with all applicable laws and regulations.
- Insurance Requirements
Dealer shall maintain, at its sole expense, appropriate insurance coverage including:
- Commercial General Liability
- Environmental / Pollution Liability (if applicable)
- Automobile Liability for delivery vehicles
- Property coverage for stored fuel products
Insurance limits shall be commercially reasonable for fuel distribution operations.
Dealer assumes full liability for:
- Storage of fuel products
- Blending operations
- Delivery and transportation
- Any damages or incidents related to fuel handling
- Fuel 1’s Tanks and Products on consignment
- Liability for Equipment and Product
Dealer assumes responsibility for all Fuel 1 equipment, tanks, totes, and product while located at Dealer’s facility or under Dealer’s control. Dealer shall be responsible for loss, damage, misuse, or contamination of Fuel 1 equipment or product occurring while under Dealer custody.
- Operational Responsibility
Dealer is responsible for:
- Proper blending of PurFuels according to Fuel 1 specifications
- Safe storage and handling of all fuel products
- Delivery operations to customers in compliance with applicable regulations
- Maintaining accurate fuel handling procedures
- Properly using PurFuels, Fuel 1 and Suzuki Marine Branding with full pre-approval of Fuel 1 on any marketing materials.
- Independent Contractor Relationship
Dealer operates as an independent contractor and not as an employee, agent, or partner of Fuel 1. Dealer is responsible for its own business operations, employees, taxes, and regulatory compliance.
- Termination
Fuel 1 may terminate this Agreement at any time and for any reason upon notice to Dealer. Dealer may also terminate participation upon written notice to Fuel 1 and return of all Fuel 1 equipment and materials.
- Governing Law
This Agreement shall be governed by and interpreted under the laws of the State of Florida.
