TRUCK PARKING MICRO FUEL STATION AND OUTLOT NO COST LEASE AGREEMENT 1. PURPOSE Fuel 1 LLC shall install, operate, and manage Micro Fuel Station systems at the Property Owner's facility. 2. TERM This Agreement shall be for sixty (60) months with automatic renewals. Fuel 1 may terminate at any time with sixty (60) days written notice. 3. OUTLOT LEASE Property Owner leases the system area to Fuel 1 for $1.00 per month. This lease exists solely to allow Fuel 1 to insure the equipment and maintain site control, and terminates upon Agreement termination. 4. GUARANTOR Guarantor Requirement and Lease Structure As a condition of participation in the Fuel 1 Truck Parking Fuel Station Program, the property owner and/or operating entity of the truck parking facility ('Guarantor') shall execute a guaranty in favor of the lease holder, represented by Bison Lending or similar funding institution solely for the purpose of securing the equipment lease associated with the Fuel 1 Micro Fuel Station system. This guaranty is administrative in nature and required strictly due to the Guarantor's control and authority over the premises on which the equipment is installed. The Guarantor shall not be responsible for making lease payments under normal operating conditions. Fuel 1 LLC. shall be solely responsible for all lease payments and obligations due under the lease agreement for the full term, which shall be either thirty-six (36) or forty-eight (48) months, as agreed. Upon completion of the lease term, the Guarantor shall be fully and automatically released from any and all obligations related to the guaranty. In the event that the Fuel 1 Micro Fuel Station system is required to be relocated, removed, or the program is otherwise terminated from the premises for any reason, Fuel 1 LLC. shall satisfy and pay off the remaining balance of the lease in full, and the Guarantor shall be immediately released from any further obligation. This guaranty does not constitute a financial investment, capital contribution, or payment obligation by the Guarantor, but is solely a property-based acknowledgment required by the lease holder. 5. OWNERSHIP All equipment remains the sole and exclusive property of Fuel 1 LLC at all times. 6. OPERATIONS Fuel 1 handles all fuel supply, DEF, POS systems, taxes, maintenance, and repairs. Property Owner is responsible for damage, misuse, and site conditions. 7. REVENUE SHARE Property Owner receives up to 33% of Net Revenue, defined as revenue after fuel, delivery, fees, lease costs, and direct operating expenses. Revenue for the first 6 months is 20% of the net profit. The following 6 months shares 25% of the revenue and from that point on until the end of the agreement, the revenue share is 33% of the net profit. Net Revenue (Net Profit) Definition For purposes of this Agreement, 'Net Revenue' (also referred to as 'Net Profit') shall mean the total gross revenue generated from the operation of the Micro Fuel Station system, less all direct costs associated with the operation of the System. Direct costs shall include, but are not limited to: Cost of fuel and Diesel Exhaust Fluid (DEF) Delivery, transportation, and logistics expenses Credit card processing fees and transaction costs Equipment lease payments and financing costs Maintenance and repair expenses directly related to the System Technology, monitoring, and point-of-sale operational costs Net Revenue shall not include indirect or overhead expenses of Fuel 1 LLC. unless such expenses are directly attributable to the operation of the System at the Premises. The resulting amount after deduction of the above costs shall constitute Net Revenue, of which the Property Owner shall receive up to thirty-three percent (33%) as outlined in this Agreement. All calculations shall be determined by Fuel 1 LLC. in good faith based on standard accounting practices. 8. MINIMUM PERFORMANCE A minimum of 15,000 gallons per month is required. Failure to meet this for three consecutive months allows Fuel 1 to terminate, renegotiate, relocate, or sell the system. 9. INSURANCE Property Owner must maintain insurance for loss, theft, and damage, naming Fuel 1 as additional insured. 10. DEFAULT AND BREACH Any interference, damage, lack of insurance, or unauthorized fuel activity constitutes a material breach. Fuel 1 may immediately terminate, remove equipment, and recover damages. 11. EXCLUSIVITY Fuel 1 LLC has exclusive fueling rights on the premises. No other fuel services may be installed or operated without written consent. Breach is non-curable and allows immediate termination and damages. 12. GOVERNING LAW This Agreement shall be governed by the laws of the State of Florida with binding arbitration.
