sellers using Fuel1Direct must comply with all applicable laws, including those governing eCommerce, product safety, and taxation.

sellers agree to:

• Only sell legitimate, non-restricted items
• Keep inventory and pricing up to date
• Fulfill orders promptly
• Provide accurate product descriptions
• Honor return and refund policies

We reserve the right to suspend or terminate any seller violating these terms.

This Agreement (“Agreement”) is entered into as of [Date] by and between Fuel 1 Direct LLC (“Fuel 1 Direct”), with its principal place of business in St. Petersburg Florida, and Registered Seller (“Partner”), with its principal place of business at [Address]. Fuel 1 Direct and Partner are referred to individually as a “Party” and collectively as the “Parties.”

1. Appointment & Authorization

Partner appoints Fuel 1 Direct as an Authorized Reseller and Marketplace Manager for selected Partner products. Partner affirms that it has the rights, licenses, and authority to permit Fuel 1 Direct to market, advertise, and sell its products on the Fuel 1 Direct marketplace. This appointment is secured by accepting the terms and conditions at registration.

2. Scope of Representation

Fuel 1 Direct may list Partner’s products on its marketplace. Listings may appear under Partner’s brand and trademarks (with prior written approval) or under a Fuel 1 Direct–managed storefront. Partner may specify which products Fuel 1 Direct is authorized to represent.

3. Responsibilities of Fuel 1 Direct

Set up and manage digital storefronts, listings, product descriptions, and branding as agreed. Collect customer payments and manage checkout and order processing. Provide monthly sales reports and account reconciliations. Withhold and remit the agreed revenue share per Schedule A.

4. Responsibilities of Partner

Provide accurate product information, descriptions, pricing, certifications, and images. Maintain inventory and fulfill orders in a timely manner. Handle all warranty obligations, defective returns, and customer service related to the product itself. Indemnify Fuel 1 Direct for any claims arising from product defects, warranty failures, or inaccurate marketing content provided by Partner.

5. Revenue Share

Revenue share is calculated on gross sales (pre-tax and excluding freight/shipping). Fuel 1 Direct will automatically withhold its share before remitting the balance to Partner. The agreed percentages are set forth in each product and agreed to by both parties. Some products may be variable in the amount of shared revenue.

6. Payments

Customer payments will be collected by Fuel 1 Direct at the time of sale. Payments to Partner shall be made only after the expiration of the applicable return/refund period. If a refund occurs within the return period, Fuel 1 Direct shall withhold or deduct the refund amount from Partner’s payment. Net disbursements will occur on demand with the withdraw feature of the platform and the payment basis via [ACH/PayPal/Other]. These requests will be located in the sellers setup pages on the seller dashboard.

7. Branding & Use of Marks

Fuel 1 Direct may use Partner’s trademarks, trade names, and logos solely for listing and promotional purposes. All usage must align with Partner’s branding guidelines when provided.

8. Refunds, Returns & Warranty

Customers shall be entitled to a full refund or exchange in cases of:

• Non-shipment of product;
• Wrong product shipped;
• Defective product upon receipt;
• Warranty claims valid under Partner’s stated warranty.

Partner agrees to honor all valid return and warranty claims promptly and at its cost unless otherwise agreed in writing. Fuel 1 Direct will coordinate refund issuance to the customer and adjust Partner’s payout accordingly.

9. Limitation of Liability & Disclaimers

Marketing Reliance: Fuel 1 Direct markets and resells products strictly based on information provided by Partner or its authorized distributor. Partner affirms the accuracy and legitimacy of all such information.
Claims Responsibility: Fuel 1 Direct shall not be liable for inaccuracies, misrepresentations, or omissions in Partner-provided product descriptions, certifications, or marketing content.
Cap on Liability: Fuel 1 Direct’s total liability under this Agreement shall not exceed the marketplace fees actually earned by Fuel 1 Direct from the specific transaction in question.
Exclusions: Fuel 1 Direct shall not be responsible for indirect, incidental, punitive, or consequential damages, including lost profits or business interruption.

10. Term & Termination

This Agreement remains effective until terminated by either Party with 30 days’ written notice. All outstanding orders and payments must be fulfilled and reconciled upon termination.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.

Listing Products and Services – Price Me option – Bidding option

1. Purpose

This Agreement authorizes Fuel 1 Direct to list, market, and facilitate the sale of the Seller’s product(s) through the Fuel 1 Direct Marketplace and related marketing channels. Fuel 1 Direct acts as a marketing and transactional intermediary, not as the product manufacturer or final contracting party to the end customer.

2. Listing & Marketing Authorization

Seller authorizes Fuel 1 Direct to:

• Build the listing, upload photos, edit copy, and optimize presentation.
• Advertise the product through Fuel 1 Direct’s website, social media, email marketing, and partner networks.
• Fuel 1 Direct may Handle inquiries, offers, and negotiations as the Seller’s authorized marketing agent if allowed.

Seller affirms that they own or have legal right to sell the listed item(s).

3. Pricing & Offers

• Seller sets the initial retail price and may authorize a “BEST OFFER” negotiable range, to be authorzed by the seller.
• “Price Me” or “Bidding” items (bid-based or custom-quoted) require direct communication between Seller and Buyer for final pricing.
• Seller agrees that any “Price Me” transaction initiated through Fuel 1 Direct is subject to the same commission or fee structure as standard sales or as agreed to on the listing agreement.
• Seller will receive buyer leads and bid requests securely through Fuel 1 Direct’s system or assigned representative.

4. Payment & Fee Structure

• For standard product sales, Fuel 1 Direct will remit buyer payment to the Seller less the agreed commission within five (5) business days after funds clear.
• For “Price Me” or post-sale bidding negotiated transactions, Seller will be invoiced by Fuel 1 Direct for the agreed commission or marketing fee once the sale is confirmed.
• All fees are due within five (5) business days of invoice date unless otherwise approved in writing.

5. Product Ownership & Liability

• Seller retains full ownership until sale completion and shipment or delivery to Buyer.
• Seller is responsible for accuracy of all descriptions, specifications, and representations.
• Seller is solely liable for product condition, warranty, and delivery.
• Fuel 1 Direct is not liable for damages, loss, or misrepresentation beyond the amount of fees earned under this Agreement.

6. Cancellations & Returns

Seller agrees to honor Fuel 1 Direct’s refund and non-delivery policy:

• Buyers are entitled to an immediate refund for non-shipment, incorrect items, or verified defects.
• Fuel 1 Direct may refund a Buyer on Seller’s behalf and deduct or recover funds as necessary.

7. Term & Termination

This Agreement remains in effect until the listed item is sold or withdrawn in writing by the Seller. Either party may terminate this Agreement at any time with written notice; any active sales or unpaid fees remain enforceable.

8. Confidentiality

All data, images, pricing, and correspondence shared between Fuel 1 Direct and Seller are confidential and used solely for listing, marketing, and transactional purposes.

9. Governing Law

This Agreement is governed by the laws of the State of Florida, with venue in Lee County, FL.

10. Secure Sales Contract Disclaimer

This document serves as a secure sales contract between the Seller and Fuel 1 Direct for the specific items and agreed commission or marketing share indicated above. By agreeing to the terms and conditions and submitting associated photos, descriptions, and prices, the Seller confirms:

• Ownership and right to sell the product(s),
• Authorization for Fuel 1 Direct to list and market by seller direct or on their behalf,
• Acceptance of all applicable fees and payment obligations,
• Understanding that “Price Me” or Bidding items will generate a Fuel 1 Direct invoice upon successful buyer engagement or confirmed sale.

Product listings must be clear, honest, and not misleading. Fuel1Direct is not liable for errors or omissions in product descriptions provided by sellers.

We may edit or remove listings that:

• Are inappropriate
• Violate copyright or trademark law
• Misrepresent the product

All prices on our platform are set by sellers unless otherwise noted. Prices may include or exclude taxes, depending on your location and applicable laws.

We accept various payment methods securely through our third-party payment processors.

Shipping costs and timelines are determined by each seller. Customers are advised to review shipping policies listed on each product page.

Delays caused by shipping providers are not the responsibility of Fuel1Direct.

Each seller is required to outline their return/refund policy. Customers must review this policy before purchasing.

Fuel1Direct may intervene in disputes but does not guarantee refunds unless clearly stated in the seller’s policy.

Fuel1Direct offers a unique bidding section under "Request a Bid by Category". Users must be registered to submit or participate in bids.

• Respond to bids promptly
• Offer genuine quotations
• Deliver services as agreed

We reserve the right to deny access to the bidding feature at our discretion.

Our affiliate program allows users to earn commissions by referring customers. Each referral is tracked via a unique referral link or QR code.

Participants agree not to:

• Spam links
• Mislead users
• Use fake identities

We may remove affiliates who violate the rules without notice.

You agree not to:

• Use our site for illegal purposes
• Harass, threaten, or defame others
• Upload viruses or malware

• Engage in fraudulent transactions
