FUEL 1 LLC TOTE PROGRAM PARTNER AGREEMENT (Ethanol-Free Premium & Diesel Fuel Service Program) This Tote Program Partner Agreement (“Agreement”) is entered into as of the date of this application (“Effective Date”), by and between Fuel 1 LLC, a Florida limited liability company (“Fuel 1”), and applicant (“Partner” or “Dealer”). Fuel 1 and Partner may be referred to individually as a “Party” and collectively as the “Parties.” 1. Program Overview Fuel 1 offers a Tote Program Partner service whereby Fuel 1 delivers and services 275-gallon fuel totes containing: Ethanol-Free 93 Octane PurFuels® gasoline; and or Ethanol-Free 94 Octane Sonoco 94EZ gasoline; or Clear Diesel Fuel Off Road Diesel Fuel This program constitutes a retail fuel service transfer model, not a wholesale fuel sale. All fuel dispensed is prepaid retail fuel inclusive of all applicable federal, state, and local taxes. The price includes both the cost of the fuel service delivery and support. 2. Nature of Service 2.1 The Tote Program is a fuel service solution provided by Fuel 1. The fee is to use Fuel 1 equipment with convenience fee. Fuel is not marked up; it is a pass-through method. 2.2 Title to fuel transfers only upon dispensing through the authorized Fuel 1 application and verified meter usage. 2.3 This is not a bulk fuel resale arrangement. The program operates as a managed retail fuel service with digital verification and usage tracking. 3. Tote Equipment 3.1 Fuel 1 shall deliver one or more 275-gallon fuel totes equipped with pump and meter (“Equipment”). 3.2 Partner shall be responsible for proper placement, reasonable care, and protection from damage, theft, or misuse. 3.3 The Equipment shall be treated as a retail fuel product system consistent with industry norms. 3.4 Partner is responsible for the tote tank, prepaid fuel, pump, and meter while in its possession. 4. Fuel Dispensing & App Requirements 4.1 All fuel dispensing must be processed through the official Fuel 1 mobile application. 4.2 Each dispensing event requires authorized login, meter reading entry, photograph verification, and gallon submission. 4.3 Partner may designate one or multiple authorized users. 4.4 No manual dispensing outside of the application is permitted. 5. Billing & Payment 5.1 Pricing shall be live and displayed within the Fuel 1 app. 5.2 Pricing is all-inclusive and may change at any time without prior notice. 5.3 Partner shall only be responsible for per gallon of fuel dispensed and verified through the app. 5.4 Customer pays as fuel is used via the app. 5.5 There are no enrollment or participation fees. 6. Refill Terms 6.1 Fuel 1 will monitor fuel levels digitally. 6.2 Fuel 1 will refill the tote when approximately 50 gallons remain or when the Partner submits a refill request via the app. 6.3 Fuel 1 retains sole discretion regarding refill scheduling logistics. 6.4 Fuel 1 will adjust invoicing to partner if refill occurs with more gallons than registered from the app draws. Which means, partner will pay for error in using the app to dispense and proof of delivery gallons will be available to partner in case of questions or audit. 7. Insurance & Risk 7.1 Partner shall maintain standard commercial general liability insurance consistent with retail fuel handling. 7.2 Partner assumes responsibility for physical damage, theft, negligent misuse, and unauthorized dispensing. 7.3 The tote system shall be treated consistent with other fuels and oils sold by the Partner. 8. No Guarantee of Price Stability 8.1 Fuel pricing is dynamic and may fluctuate based on market conditions. 8.2 Pricing displayed in the app at the time of dispensing controls. 8.3 Fuel 1 makes no guarantees regarding price stability. 9. Program Term & Cancellation 9.1 This Agreement continues until terminated by either Party. 9.2 Fuel 1 retains the unilateral right to cancel, suspend, or modify the program at any time. 9.3 Upon cancellation, Partner shall pay for all verified fuel used and Fuel 1 shall retrieve the Equipment. 10. No Partnership or Franchise Nothing in this Agreement creates a franchise, joint venture, employment relationship, or partnership. 11. Compliance Partner agrees to comply with all applicable federal, state, and local laws, fire codes, and environmental regulations. 12. Limitation of Liability Fuel 1 shall not be liable for indirect or consequential damages, business interruption, or market price fluctuations. Fuel 1’s liability shall not exceed the value of unpaid verified fuel transactions during the thirty (30) days prior to any claim. 13. Governing Law This Agreement shall be governed by the laws of the State of Florida. Venue shall be exclusively in Florida. 14. Entire Agreement This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements. Modifications must be in writing and signed by both Parties. The electronic signature constitutes agreement by both parties.
